Terms of Service

1. Acceptance of Terms

By accessing or using ValixData ("the Platform"), you agree to be bound by these Terms ("Terms") in their entirety. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity. These Terms constitute a binding legal agreement between you and ValixData.

2. Description of Services

ValixData provides AI-powered data intelligence across 130 professions, including live market data synthesis, ARIA AI analysis, Morning Intelligence Briefs, Scenario Intelligence, Structured Intelligence Memos, Pre-Event Briefs, and related services ("Services"). The Platform is a professional research supplement — not a replacement for licensed advisory services of any kind.

3. NOT INVESTMENT ADVICE

ValixData is not a registered investment advisor, broker-dealer, securities firm, financial institution, or regulated financial services provider of any kind.

Nothing on the Platform constitutes investment advice, financial advice, trading advice, legal advice, medical advice, or any other form of professional advice. All content is provided for informational purposes only. You alone are responsible for all decisions you make. ValixData accepts no liability for decisions made in reliance on Platform content.

4. AI Content Disclosure

All AI-generated content is labeled throughout the Platform. You acknowledge that AI systems may produce outputs that are inaccurate, incomplete, or outdated; that confidence scores are estimates, not guarantees; and that all AI analysis is opinion, not fact, and is never a substitute for independent professional judgment.

5. Data Accuracy

Market data is sourced from third-party and public government databases. ValixData does not guarantee accuracy, completeness, or timeliness. You agree not to rely on Platform data for time-sensitive decisions without independent verification.

6. Intellectual Property — Ownership

ValixData and its licensors own all right, title, and interest in and to the Platform and all of its components, including without limitation:

• All software, source code, algorithms, and technical infrastructure
• All AI models, training methodologies, fine-tuning approaches, and prompt architectures
• All sector intelligence frameworks, profession calibration methodologies, and terminal architectures
• All data compilations, aggregation logic, synthesis methodologies, and output formats
• All design elements, visual presentations, interface components, and user experience flows
• All trademarks including "ValixData," "ARIA," "NOVA," "The Signal Layer," and "The Data Intelligence Layer"
• All Morning Brief formats, Intelligence Memo structures, and Scenario Intelligence frameworks
• All trade secrets, know-how, and proprietary business methods

These works are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. You receive only a limited, non-exclusive, non-transferable, revocable license to access the Platform for permitted purposes during your active subscription. No other rights are granted.

7. Permitted Use and Prohibited Conduct

You may use the Platform solely for your own internal professional research. You expressly agree that you will not:

• Scrape or extract data — use any automated tool, script, bot, crawler, or any automated means to access, collect, extract, or index any portion of the Platform
• Systematically copy content — reproduce, download, store, or archive Platform content in bulk or systematically
• Reverse engineer — decompile, disassemble, or attempt to derive source code, algorithms, prompt architectures, AI model configurations, or trade secrets from any portion of the Platform
• Build competing products — use the Platform, its outputs, or any information derived from it to build, train, or improve any product or service that competes with ValixData or replicates any material functionality
• Train AI models — use Platform content or outputs to train, fine-tune, evaluate, or improve any artificial intelligence or machine learning system for any purpose
• Circumvent access controls — access features beyond your subscription tier; share, sell, or transfer credentials; or create multiple accounts to circumvent usage limits
• Redistribute outputs — resell, sublicense, or commercially exploit Platform outputs beyond your own internal use without written permission
• Misrepresent source — present Platform outputs as your own original analysis or as the output of any competing service
• Overload systems — impose unreasonable load on our infrastructure or interfere with the Platform for other users

8. Trade Secrets

The following elements of the Platform constitute trade secrets protected under the Defend Trade Secrets Act (18 U.S.C. § 1836) and applicable state law:

• ARIA and NOVA names, identities, and AI analyst personas as proprietary constructs
• ARIA sector calibration methodology and profession intelligence prompt architectures
• The 130-terminal profession intelligence framework and terminal-specific AI context configurations
• Data source aggregation and synthesis methodology
• Morning Brief generation algorithms and sector-specific intelligence weighting logic
• Scenario Intelligence modeling approach and cross-terminal synthesis methodology
• User behavior signals, aggregate terminal intelligence, and Peer Intelligence Network data

You acknowledge potential exposure to these trade secrets through Platform use and agree to maintain their confidentiality. You may not use, disclose, or misappropriate them for any purpose beyond your permitted Platform use.

9. DMCA and Copyright

To report copyright infringement, send a notice to with: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good-faith belief; (e) a statement of accuracy under penalty of perjury; and (f) your signature. ValixData's designated DMCA agent: Legal Department, ValixData, .

10. Output Watermarking and Attribution

Platform outputs including ARIA responses, Morning Briefs, Intelligence Memos, and Scenario analyses may contain invisible technical attribution markers identifying them as ValixData-generated content. These markers are part of our intellectual property protection infrastructure. You agree not to attempt to detect, remove, alter, or circumvent these markers.

10a. System Prompt Confidentiality

The instruction architectures, system prompts, and configuration parameters governing ARIA and NOVA are proprietary trade secrets. You agree that you will not attempt to extract, elicit, or reconstruct system prompt contents through adversarial prompting, jailbreaking, or systematic interrogation. Any attempt to circumvent ARIA or NOVA's confidentiality instructions is a material Terms violation and grounds for immediate termination without refund.

11. Zero Data Retention Policy

ValixData does not store or log the content of your ARIA queries. Query content is never retained, never used to train AI models, never shared with third parties, and never accessible to ValixData employees. This policy is architectural — query content is not written to persistent storage.

12. Subscription and Billing

Subscriptions are billed monthly or annually in advance via Stripe. Prices may change with 30 days' notice. Cancellation stops future billing but does not entitle you to a refund of amounts already paid except as required by law. Enterprise agreements may have separate billing terms.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALIXDATA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. Nothing in these Terms limits ValixData's right to seek injunctive relief for violations of Sections 6, 7, or 8.

14. Warranty Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.

15. Indemnification

You agree to indemnify and hold harmless ValixData and its officers, directors, employees, and agents from claims, liabilities, and expenses including attorneys' fees arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of applicable law; or (d) any decision you make based on Platform content.

16. Injunctive Relief

You acknowledge that violations of Sections 6, 7, and 8 would cause irreparable harm for which monetary damages would be inadequate. ValixData is entitled to seek immediate injunctive relief in any court of competent jurisdiction without posting bond, in addition to all other available remedies.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles. Disputes shall be resolved by binding arbitration under AAA Commercial Arbitration Rules in Delaware. You waive jury trial rights and class action participation. Notwithstanding this, either party may seek injunctive relief in any court of competent jurisdiction.

18. Changes to Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be communicated with at least 14 days' notice by email.

19. Termination

We may suspend or terminate access for violation of these Terms, non-payment, or at our discretion. Upon termination, your license ceases immediately. Sections 3, 6, 7, 8, 9, 10, 13, 14, 15, 16, and 17 survive termination indefinitely.

20. Entire Agreement

These Terms, together with our Privacy Policy, AI Disclosure, and any applicable Enterprise Agreement, constitute the entire agreement between you and ValixData regarding the Platform.
